最高人民法院關于審理建設工程施工合同糾紛案件 適用法律問題的解釋(二)解析

    為正(zheng)確審(shen)(shen)理(li)建(jian)(jian)設工程施(shi)工合(he)同糾紛(fen)案(an)(an)件,依法(fa)保護當(dang)事人(ren)合(he)法(fa)權益,維護建(jian)(jian)筑(zhu)(zhu)市場秩序,促進(jin)建(jian)(jian)筑(zhu)(zhu)市場健(jian)康(kang)發(fa)展,根據《中華(hua)人(ren)民(min)(min)共(gong)和(he)國民(min)(min)法(fa)總則》《中華(hua)人(ren)民(min)(min)共(gong)和(he)國合(he)同法(fa)》《中華(hua)人(ren)民(min)(min)共(gong)和(he)國建(jian)(jian)筑(zhu)(zhu)法(fa)》《中華(hua)人(ren)民(min)(min)共(gong)和(he)國招標投標法(fa)》《中華(hua)人(ren)民(min)(min)共(gong)和(he)國民(min)(min)事訴訟法(fa)》等(deng)法(fa)律(lv)規(gui)定,結合(he)審(shen)(shen)判實踐(jian)。2018年10月29日最高人(ren)民(min)(min)法(fa)院(yuan)審(shen)(shen)判委員會第1751次會議通過《最高人(ren)民(min)(min)法(fa)院(yuan)關(guan)于(yu)審(shen)(shen)理(li)建(jian)(jian)設工程施(shi)工合(he)同糾紛(fen)案(an)(an)件適用(yong)法(fa)律(lv)問題的解釋(二)》【下稱“建(jian)(jian)設工程施(shi)工合(he)同解釋(二)”】,并自(zi)2019年2月1日起施(shi)行。
    我(wo)公(gong)司(si)作為房地產(chan)企業,該司(si)法(fa)解(jie)釋對(dui)(dui)我(wo)公(gong)司(si)影響較大,法(fa)務部對(dui)(dui)其中合(he)同(tong)的(de)無效情形以及涉及的(de)“黑白(bai)合(he)同(tong)”認(ren)定進行(xing)了學習,具體如下:
    一、《建(jian)設工程施工合(he)同》無(wu)效(xiao)的情形
    根據《中(zhong)華人民共(gong)和國合(he)同(tong)法(fa)》以及《建設工(gong)程施工(gong)合(he)同(tong)解釋(二)》,《建設工(gong)程施工(gong)合(he)同(tong)》無效的(de)情形有以下(xia)六點:
    1、非法轉(zhuan)包合同(tong);
    2、違(wei)法分包合同;
    3、承包(bao)人未取得(de)或超越相應資質(zhi)的(例外:承包(bao)人在建設工(gong)程(cheng)“竣工(gong)前”取得(de)相應資質(zhi)的,不按無效處理);
    4、沒有(you)資質(zhi)的(de)實際施(shi)工人借用有(you)資質(zhi)的(de)建筑施(shi)工企業(ye)名義的(de);
    5、建設(she)工程必須(xu)進行(xing)招(zhao)標而未招(zhao)標或者中標無效的(de)。
    6、發包(bao)(bao)人未取(qu)得建設(she)(she)工程(cheng)規(gui)劃(hua)許可(ke)證(zheng)等(deng)規(gui)劃(hua)審(shen)批手(shou)續(xu)(例外(wai)(wai):其一,發包(bao)(bao)人在起訴前取(qu)得建設(she)(she)工程(cheng)規(gui)劃(hua)許可(ke)證(zheng)等(deng)規(gui)劃(hua)審(shen)批手(shou)續(xu)的除外(wai)(wai);其二,發包(bao)(bao)人能夠辦理審(shen)批手(shou)續(xu)而未辦理,并以未辦理審(shen)批手(shou)續(xu)為(wei)由主張(zhang)建設(she)(she)工程(cheng)施工合同無(wu)效的除外(wai)(wai))。
    對于以上六種情(qing)形,其(qi)中第(di)六種情(qing)形就是(shi)依據《建(jian)設工(gong)程施(shi)工(gong)合(he)同(tong)解(jie)釋(二)》的(de)第(di)2條進(jin)行了明確(que)(que)約定,具體(ti)為(wei)(wei)“當事人以發包人未取(qu)得建(jian)設工(gong)程規劃許(xu)可(ke)證等(deng)規劃審批手續為(wei)(wei)由,請求(qiu)確(que)(que)認(ren)建(jian)設工(gong)程施(shi)工(gong)合(he)同(tong)無效的(de),人民(min)法院應(ying)予支持,但發包人在起訴前(qian)取(qu)得建(jian)設工(gong)程規劃許(xu)可(ke)證等(deng)規劃審批手續的(de)除外。發包人能夠辦(ban)理(li)審批手續而未辦(ban)理(li),并(bing)以未辦(ban)理(li)審批手續為(wei)(wei)由請求(qiu)確(que)(que)認(ren)建(jian)設工(gong)程施(shi)工(gong)合(he)同(tong)無效的(de),人民(min)法院不予支持。”
    同時(shi)在(zai)《建(jian)(jian)設(she)工(gong)(gong)程施(shi)工(gong)(gong)合同解(jie)釋(shi)(二)》的第4條(tiao)中對(dui)(dui)于借(jie)(jie)用(yong)資(zi)質(zhi)情形(xing)的賠(pei)償責任(ren)進(jin)行了明確約定,具體(ti)為“缺(que)乏資(zi)質(zhi)的單位或(huo)者個(ge)人(ren)借(jie)(jie)用(yong)有資(zi)質(zhi)的建(jian)(jian)筑施(shi)工(gong)(gong)企(qi)業名義簽訂建(jian)(jian)設(she)工(gong)(gong)程施(shi)工(gong)(gong)合同,發(fa)包人(ren)請求(qiu)出借(jie)(jie)方與借(jie)(jie)用(yong)方對(dui)(dui)建(jian)(jian)設(she)工(gong)(gong)程質(zhi)量不(bu)合格(ge)等因出借(jie)(jie)資(zi)質(zhi)造成的損失承擔(dan)連帶賠(pei)償責任(ren)的,人(ren)民法院(yuan)應予支持。”
    二、建設工程施工合(he)同中(zhong)“黑白合(he)同”的效力(li)認(ren)定
    1、強制(zhi)招(zhao)標:依(yi)照《招(zhao)投標法(fa)》第3條之規定:在中(zhong)華(hua)人民(min)共和國境內進行(xing)下列工(gong)程建設(she)(she)項(xiang)目(mu)包括項(xiang)目(mu)的勘察、設(she)(she)計、施工(gong)、監理(li)以及與(yu)工(gong)程建設(she)(she)有關的重要(yao)設(she)(she)備(bei)、材料等的采(cai)購,必須進行(xing)招(zhao)標:(1)大型基礎(chu)設(she)(she)施、公(gong)用事業等關系社會公(gong)共利益(yi)、公(gong)眾安全的項(xiang)目(mu);(2)全部或者部分使用國有資金投資或者國家(jia)融(rong)資的項(xiang)目(mu);(3)使用國際組織(zhi)或者外國政府貸款、援(yuan)助資金的項(xiang)目(mu)。同(tong)時,國家(jia)發(fa)改委于2018年3月27日發(fa)文2018年6月1日起施行(xing)的《必須招(zhao)標的工(gong)程項(xiang)目(mu)規定》中(zhong)縮小(xiao)了須強制(zhi)招(zhao)標的建設(she)(she)工(gong)程項(xiang)目(mu)的范圍(wei),民(min)營投資的科技、教育等事業及社會福利、商品房住宅項(xiang)目(mu)不再屬于強制(zhi)招(zhao)標的范圍(wei)。
    2、“強制招標(biao)”建設工(gong)(gong)(gong)(gong)程,招標(biao)人(ren)(ren)和(he)中(zhong)(zhong)(zhong)標(biao)人(ren)(ren)另行(xing)簽訂的(de)(de)建設工(gong)(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)(gong)合(he)(he)同(tong)(tong)約(yue)定(ding)的(de)(de)工(gong)(gong)(gong)(gong)程范(fan)圍(wei)、建設工(gong)(gong)(gong)(gong)期、工(gong)(gong)(gong)(gong)程質(zhi)量、工(gong)(gong)(gong)(gong)程價款(kuan)等實(shi)質(zhi)性內(nei)容,與中(zhong)(zhong)(zhong)標(biao)合(he)(he)同(tong)(tong)不一致的(de)(de),應當(dang)招照中(zhong)(zhong)(zhong)標(biao)合(he)(he)同(tong)(tong)確定(ding)當(dang)事人(ren)(ren)的(de)(de)權利義(yi)務(依據(ju)《建設工(gong)(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)(gong)合(he)(he)同(tong)(tong)解釋(shi)(二)》第(di)1條(tiao)第(di)一款(kuan)“招標(biao)人(ren)(ren)和(he)中(zhong)(zhong)(zhong)標(biao)人(ren)(ren)另行(xing)簽訂的(de)(de)建設工(gong)(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)(gong)合(he)(he)同(tong)(tong)約(yue)定(ding)的(de)(de)工(gong)(gong)(gong)(gong)程范(fan)圍(wei)、建設工(gong)(gong)(gong)(gong)期、工(gong)(gong)(gong)(gong)程質(zhi)量、工(gong)(gong)(gong)(gong)程價款(kuan)等實(shi)質(zhi)性內(nei)容,與中(zhong)(zhong)(zhong)標(biao)合(he)(he)同(tong)(tong)不一致,一方(fang)當(dang)事人(ren)(ren)請求按照中(zhong)(zhong)(zhong)標(biao)合(he)(he)同(tong)(tong)確定(ding)權利義(yi)務的(de)(de),人(ren)(ren)民法院應予(yu)支持”)。
    3、“強制招標(biao)(biao)”建(jian)設(she)工(gong)程(cheng),招標(biao)(biao)人(ren)和中(zhong)(zhong)標(biao)(biao)人(ren)在中(zhong)(zhong)標(biao)(biao)合(he)(he)(he)同(tong)(tong)(tong)之外(wai)就明顯高于市場(chang)價(jia)格購(gou)買承(cheng)建(jian)房產、無償建(jian)設(she)住宅配套(tao)設(she)施、讓利、向建(jian)設(she)單位捐(juan)贈財(cai)物等另(ling)(ling)(ling)行(xing)簽(qian)訂(ding)合(he)(he)(he)同(tong)(tong)(tong),變相(xiang)降低工(gong)程(cheng)價(jia)款(kuan),該背離中(zhong)(zhong)標(biao)(biao)合(he)(he)(he)同(tong)(tong)(tong)實質內(nei)容而另(ling)(ling)(ling)行(xing)簽(qian)訂(ding)的建(jian)設(she)工(gong)程(cheng)施工(gong)合(he)(he)(he)同(tong)(tong)(tong)無效(xiao)(依(yi)據《建(jian)設(she)工(gong)程(cheng)施工(gong)合(he)(he)(he)同(tong)(tong)(tong)解釋(二)》第(di)1條第(di)二款(kuan)“招標(biao)(biao)人(ren)和中(zhong)(zhong)標(biao)(biao)人(ren)在中(zhong)(zhong)標(biao)(biao)合(he)(he)(he)同(tong)(tong)(tong)之外(wai)就明顯高于市場(chang)價(jia)格購(gou)買承(cheng)建(jian)房產、無償建(jian)設(she)住房配套(tao)設(she)施、讓利、向建(jian)設(she)單位捐(juan)贈財(cai)物等另(ling)(ling)(ling)行(xing)簽(qian)訂(ding)合(he)(he)(he)同(tong)(tong)(tong),變相(xiang)降低工(gong)程(cheng)價(jia)款(kuan),一方當事人(ren)以該合(he)(he)(he)同(tong)(tong)(tong)背離中(zhong)(zhong)標(biao)(biao)合(he)(he)(he)同(tong)(tong)(tong)實質性內(nei)容為由請求確認無效(xiao)的,人(ren)民法院應予支持”)。
    4、依法不屬于(yu)必(bi)須招(zhao)標(biao)(biao)(biao)(biao)(biao)的(de)(de)(de)建(jian)(jian)設(she)工(gong)程(cheng)項(xiang)目(mu)(“非強制招(zhao)標(biao)(biao)(biao)(biao)(biao)”),發(fa)包人(ren)(ren)進(jin)行(xing)招(zhao)標(biao)(biao)(biao)(biao)(biao)后,與(yu)承包人(ren)(ren)另(ling)行(xing)訂(ding)立的(de)(de)(de)建(jian)(jian)設(she)工(gong)程(cheng)施工(gong)合同(tong)背(bei)離中標(biao)(biao)(biao)(biao)(biao)合同(tong)的(de)(de)(de)實(shi)質(zhi)性內容(rong),應當以(yi)中標(biao)(biao)(biao)(biao)(biao)合同(tong)作為結(jie)算工(gong)程(cheng)價款的(de)(de)(de)依據(ju)(依據(ju)《建(jian)(jian)設(she)工(gong)程(cheng)施工(gong)合同(tong)解釋(二)》第9條“發(fa)包人(ren)(ren)將依法不屬于(yu)必(bi)須招(zhao)標(biao)(biao)(biao)(biao)(biao)的(de)(de)(de)建(jian)(jian)設(she)工(gong)程(cheng)進(jin)行(xing)招(zhao)標(biao)(biao)(biao)(biao)(biao)后,與(yu)承包人(ren)(ren)另(ling)行(xing)訂(ding)立的(de)(de)(de)建(jian)(jian)設(she)工(gong)程(cheng)施工(gong)合同(tong)背(bei)離中標(biao)(biao)(biao)(biao)(biao)合同(tong)的(de)(de)(de)實(shi)質(zhi)性內容(rong),當事人(ren)(ren)請求以(yi)中標(biao)(biao)(biao)(biao)(biao)合同(tong)作為結(jie)算建(jian)(jian)設(she)工(gong)程(cheng)價款依據(ju)的(de)(de)(de),人(ren)(ren)民法院應予支(zhi)持,但發(fa)包人(ren)(ren)與(yu)承包人(ren)(ren)因客觀情(qing)況發(fa)生(sheng)了在招(zhao)標(biao)(biao)(biao)(biao)(biao)投標(biao)(biao)(biao)(biao)(biao)時難以(yi)預見的(de)(de)(de)變化而另(ling)行(xing)訂(ding)立建(jian)(jian)設(she)工(gong)程(cheng)施工(gong)合同(tong)的(de)(de)(de)除外”)。
    對于上述情形(xing),法務部應在(zai)建設(she)工程招標以(yi)及(ji)合同起草(cao)簽署中(zhong)著重把控,嚴格按(an)照相(xiang)關法律法規以(yi)及(ji)公司(si)實際情形(xing)進行風險防(fang)控。
