最高人民法院關于審理建設工程施工合同糾紛案件 適用法律問題的解釋(二)解析——承包人優先受償權

    為正確審(shen)理(li)建(jian)設工(gong)(gong)(gong)程(cheng)施(shi)工(gong)(gong)(gong)合(he)同(tong)(tong)糾紛案件(jian),依法(fa)(fa)(fa)保護當事人(ren)(ren)合(he)法(fa)(fa)(fa)權益,維護建(jian)筑市場秩序,促進(jin)建(jian)筑市場健康發(fa)展,根據《中(zhong)華人(ren)(ren)民(min)(min)(min)(min)共(gong)和(he)(he)(he)國(guo)民(min)(min)(min)(min)法(fa)(fa)(fa)總則》《中(zhong)華人(ren)(ren)民(min)(min)(min)(min)共(gong)和(he)(he)(he)國(guo)合(he)同(tong)(tong)法(fa)(fa)(fa)》《中(zhong)華人(ren)(ren)民(min)(min)(min)(min)共(gong)和(he)(he)(he)國(guo)建(jian)筑法(fa)(fa)(fa)》《中(zhong)華人(ren)(ren)民(min)(min)(min)(min)共(gong)和(he)(he)(he)國(guo)招標投標法(fa)(fa)(fa)》《中(zhong)華人(ren)(ren)民(min)(min)(min)(min)共(gong)和(he)(he)(he)國(guo)民(min)(min)(min)(min)事訴訟法(fa)(fa)(fa)》等(deng)法(fa)(fa)(fa)律規定,結合(he)審(shen)判(pan)實踐(jian)。2018年10月(yue)29日最(zui)(zui)高(gao)人(ren)(ren)民(min)(min)(min)(min)法(fa)(fa)(fa)院(yuan)審(shen)判(pan)委員會(hui)第1751次(ci)會(hui)議通過《最(zui)(zui)高(gao)人(ren)(ren)民(min)(min)(min)(min)法(fa)(fa)(fa)院(yuan)關(guan)于審(shen)理(li)建(jian)設工(gong)(gong)(gong)程(cheng)施(shi)工(gong)(gong)(gong)合(he)同(tong)(tong)糾紛案件(jian)適用法(fa)(fa)(fa)律問(wen)題的解釋(二)》【下稱“建(jian)設工(gong)(gong)(gong)程(cheng)施(shi)工(gong)(gong)(gong)合(he)同(tong)(tong)解釋(二)”】,并自2019年2月(yue)1日起施(shi)行。
    我(wo)公司作(zuo)為房地產企業,該司法解釋(shi)對我(wo)公司影響較大(da),法務部對其(qi)中(zhong)承包人優先受償權進行(xing)了學習(xi),具體如下:
    《建(jian)設工程(cheng)施工合同》承包人的優先受償權
    根據《中華人民共和國合同法》、《建(jian)設(she)(she)工程施工合同解釋(shi)(二)》以及《最高(gao)院(yuan)關(guan)于建(jian)設(she)(she)工程價款優先(xian)受(shou)償權問題的批復(fu)》進行(xing)分析如(ru)下:
    《中華(hua)人(ren)民共和國合(he)同法(fa)》第(di)286條規定:“發(fa)(fa)包人(ren)未按照約定支付價(jia)(jia)款的(de),承包人(ren)可(ke)以(yi)(yi)催(cui)告發(fa)(fa)包人(ren)在(zai)合(he)理期限(xian)內(nei)支付價(jia)(jia)款。發(fa)(fa)包人(ren)逾(yu)期不(bu)支付的(de),除按照建設(she)工程的(de)性(xing)質(zhi)不(bu)宜折價(jia)(jia)、拍(pai)賣的(de)以(yi)(yi)外,承包人(ren)可(ke)以(yi)(yi)與(yu)發(fa)(fa)包人(ren)協議將該工程折價(jia)(jia),也可(ke)以(yi)(yi)申請人(ren)民法(fa)院將該工程依法(fa)拍(pai)賣。建設(she)工程的(de)價(jia)(jia)款就(jiu)該工程折價(jia)(jia)或者拍(pai)賣的(de)價(jia)(jia)款優(you)先受償。”
    (一(yi))主體范圍:
    1、與(yu)(yu)發包(bao)(bao)人直(zhi)接訂立(li)《建設工(gong)程(cheng)施工(gong)合(he)(he)同(tong)》的(de)(de)承(cheng)(cheng)包(bao)(bao)人。(依據《建設工(gong)程(cheng)施工(gong)合(he)(he)同(tong)解釋(二(er))》第(di)17條規定:“與(yu)(yu)發包(bao)(bao)人訂立(li)建設工(gong)程(cheng)施工(gong)合(he)(he)同(tong)的(de)(de)承(cheng)(cheng)包(bao)(bao)人,根據合(he)(he)同(tong)法第(di)二(er)百(bai)八(ba)十六條規定請求(qiu)其承(cheng)(cheng)建工(gong)程(cheng)的(de)(de)價(jia)款(kuan)就工(gong)程(cheng)折(zhe)價(jia)或者拍(pai)賣的(de)(de)價(jia)款(kuan)優(you)先受償(chang)的(de)(de),人民法院應予(yu)支持。”)具體(ti)理解如下:
    ①僅限于直接(jie)與發包人訂立《建(jian)設工(gong)程施工(gong)合同(tong)》的承包人;
    ②不包括(kuo)勘察人(ren)(ren)(ren)(ren)、設(she)(she)計人(ren)(ren)(ren)(ren)、監理人(ren)(ren)(ren)(ren)、分(fen)(fen)包人(ren)(ren)(ren)(ren)(但有(you)例外,若(ruo)發包人(ren)(ren)(ren)(ren)指定(ding)分(fen)(fen)包人(ren)(ren)(ren)(ren),且在合同履行過程中,分(fen)(fen)包人(ren)(ren)(ren)(ren)完全替代承包人(ren)(ren)(ren)(ren),則發包人(ren)(ren)(ren)(ren)與分(fen)(fen)包人(ren)(ren)(ren)(ren)之間直(zhi)接形(xing)成(cheng)事實(shi)上的建設(she)(she)工程施工合同關系,此種分(fen)(fen)包人(ren)(ren)(ren)(ren)享有(you)優先(xian)受償權)。
    ③建設(she)工程施(shi)工合同無效的(de),實際施(shi)工人不享有(you)優(you)先受償權。
    2、與發包(bao)人(ren)(ren)直接(且(qie)發包(bao)人(ren)(ren)系建筑物的(de)(de)(de)所有權(quan)人(ren)(ren))訂立裝飾裝修工程(cheng)施(shi)工合(he)(he)同(tong)的(de)(de)(de)承(cheng)包(bao)人(ren)(ren)。(同(tong)依據(ju)《建設工程(cheng)施(shi)工合(he)(he)同(tong)解(jie)(jie)釋(二)》第17條(tiao)規定:“與發包(bao)人(ren)(ren)訂立建設工程(cheng)施(shi)工合(he)(he)同(tong)的(de)(de)(de)承(cheng)包(bao)人(ren)(ren),根據(ju)合(he)(he)同(tong)法(fa)第二百八十(shi)六條(tiao)規定請求其承(cheng)建工程(cheng)的(de)(de)(de)價款就工程(cheng)折價或者(zhe)拍賣的(de)(de)(de)價款優先受償的(de)(de)(de),人(ren)(ren)民法(fa)院應予支持(chi)。”)具體(ti)理(li)解(jie)(jie)如下:
    ①僅限于直接與發包人訂立裝飾裝修工(gong)程施工(gong)合同的承(cheng)包人;
    ②裝(zhuang)(zhuang)飾(shi)裝(zhuang)(zhuang)修工程的(de)(de)發包人(ren)(ren)須為該建(jian)筑(zhu)物(wu)(wu)的(de)(de)所有權人(ren)(ren),或者發包人(ren)(ren)雖(sui)然不是所有權人(ren)(ren),但發包人(ren)(ren)屬于有權處(chu)分該建(jian)筑(zhu)物(wu)(wu)的(de)(de)人(ren)(ren)(在(zai)發包人(ren)(ren)基于租賃、聯營占有、使用(yong)建(jian)筑(zhu)物(wu)(wu)的(de)(de)情況下,與承包人(ren)(ren)訂立裝(zhuang)(zhuang)飾(shi)裝(zhuang)(zhuang)修工程施工合同(tong)(tong),未取(qu)得建(jian)筑(zhu)物(wu)(wu)所有權人(ren)(ren)同(tong)(tong)意擔保的(de)(de),承包人(ren)(ren)不享有優先受償(chang)權)。
    ③承包人享有優先受償(chang)權的標(biao)的物僅限于“因裝飾裝修而使(shi)該建(jian)筑物增加的價值范(fan)圍內。”
    (二)優先受償(chang)權擔保(bao)的工程價款債(zhai)權之(zhi)范圍
    1、發(fa)包人(ren)應當向(xiang)承(cheng)包人(ren)支付(fu)的(de)全(quan)部(bu)工(gong)程(cheng)價(jia)(jia)款。(依據《建(jian)設(she)(she)工(gong)程(cheng)施工(gong)合同(tong)解(jie)釋(二)》第21條第一款規定:“承(cheng)包人(ren)建(jian)設(she)(she)工(gong)程(cheng)價(jia)(jia)款優先受償(chang)的(de)范圍依照國(guo)務院有關(guan)行政主管部(bu)門(men)關(guan)于建(jian)設(she)(she)工(gong)程(cheng)價(jia)(jia)款范圍的(de)規定確定。”)具體(ti)理(li)解(jie)如下:
    ①包(bao)括(kuo):承包(bao)人實際支出的(de)人工(gong)費(fei)、材(cai)料費(fei)、施(shi)工(gong)機(ji)具使(shi)用(yong)費(fei)、企業管理費(fei)、規費(fei)、稅金以及可得利潤。
    ②不包括因(yin)發(fa)包人逾(yu)期(qi)(qi)支(zhi)付(fu)到(dao)期(qi)(qi)工(gong)程價款(kuan)所生的利息、違約(yue)金(jin)、損害賠償金(jin)。(依據(ju)《建設工(gong)程施工(gong)合同解釋(二(er))》第(di)(di)21條第(di)(di)二(er)款(kuan)規定:“承包人就逾(yu)期(qi)(qi)支(zhi)付(fu)建設工(gong)程價款(kuan)的利息、違約(yue)金(jin)、損害賠償金(jin)等主張優先受償的,人民法院不予支(zhi)持。”)
    (三)成立要件:
    1、主(zhu)體僅限(xian)于與發包人直接訂(ding)立(li)有(you)效的建設工程(cheng)施工合(he)同的承(cheng)包人;
    2、在(zai)法律規定的(de)受優(you)先受償權擔保的(de)工(gong)程(cheng)價款債(zhai)權范(fan)圍(wei)內(nei)。
    3、發包人不(bu)支(zhi)付到(dao)期(qi)工程價款。
    4、經承包人(ren)催(cui)告后,經合理期間,發包人(ren)仍(reng)未(wei)支付(fu)。
    5、建(jian)設工程在性質上適宜折價或拍(pai)賣。
    6、建(jian)設工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)經(jing)竣工(gong)(gong)(gong)(gong)驗收質量(liang)合(he)格(ge),未竣工(gong)(gong)(gong)(gong)的(de)(de)(de)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(如爛尾)經(jing)合(he)法程(cheng)(cheng)(cheng)序驗收質量(liang)合(he)格(ge)。(依據《建(jian)設工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)施工(gong)(gong)(gong)(gong)合(he)同解釋(二(er))》第19、20條規定:“建(jian)設工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)質量(liang)合(he)格(ge),承(cheng)包人(ren)請求其承(cheng)建(jian)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)的(de)(de)(de)價(jia)(jia)款(kuan)(kuan)就(jiu)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)折價(jia)(jia)或(huo)者拍賣(mai)的(de)(de)(de)價(jia)(jia)款(kuan)(kuan)優(you)先受償(chang)的(de)(de)(de),人(ren)民法院(yuan)應(ying)予支(zhi)(zhi)持(chi)。未竣工(gong)(gong)(gong)(gong)的(de)(de)(de)建(jian)設工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)質量(liang)合(he)格(ge),承(cheng)包人(ren)請求其承(cheng)建(jian)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)的(de)(de)(de)價(jia)(jia)款(kuan)(kuan)就(jiu)其承(cheng)建(jian)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)部分折價(jia)(jia)或(huo)者拍賣(mai)的(de)(de)(de)價(jia)(jia)款(kuan)(kuan)優(you)先受償(chang)的(de)(de)(de),人(ren)民法院(yuan)應(ying)予支(zhi)(zhi)持(chi)。”)
    (四)優先(xian)受償權的存續期間(jian)
    1、承(cheng)包(bao)(bao)(bao)人(ren)(ren)(ren)優先受償(chang)(chang)權的(de)存續期間為六(liu)(liu)個月(yue),自(zi)發包(bao)(bao)(bao)人(ren)(ren)(ren)應(ying)(ying)當給(gei)(gei)付建(jian)(jian)設(she)(she)工(gong)程(cheng)(cheng)價(jia)款之(zhi)日(ri)起算(suan)(suan)。(依據《建(jian)(jian)設(she)(she)工(gong)程(cheng)(cheng)施工(gong)合同解釋(二)》第22條規定:“承(cheng)包(bao)(bao)(bao)人(ren)(ren)(ren)行使建(jian)(jian)設(she)(she)工(gong)程(cheng)(cheng)價(jia)款優先受償(chang)(chang)權的(de)期限為六(liu)(liu)個月(yue),自(zi)發包(bao)(bao)(bao)人(ren)(ren)(ren)應(ying)(ying)當給(gei)(gei)付建(jian)(jian)設(she)(she)工(gong)程(cheng)(cheng)價(jia)款之(zhi)日(ri)起算(suan)(suan)。”),其中對于發包(bao)(bao)(bao)人(ren)(ren)(ren)“應(ying)(ying)當給(gei)(gei)付建(jian)(jian)設(she)(she)工(gong)程(cheng)(cheng)價(jia)款之(zhi)日(ri)”的(de)確定予以(yi)(yi)以(yi)(yi)下理解:
    (1)發包(bao)人與承包(bao)人有約定(ding)的(de),按約定(ding)。
    (2)沒(mei)有(you)約定的,下例時(shi)間(jian)視(shi)為發包(bao)人應當給付建(jian)設工(gong)程價款的時(shi)間(jian):
    ①建設工程已實(shi)際交付的,為交付之日;
    ②建(jian)設工程沒有交付的,為(wei)提交竣工結算文件之日;
    ③建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)未(wei)(wei)交(jiao)(jiao)付(fu)(fu),工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)也未(wei)(wei)結算(suan)的,為當(dang)事(shi)(shi)人(ren)起(qi)訴之日(ri)。(依據《建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)施工(gong)(gong)(gong)合同(tong)解(jie)釋》第18條(tiao)規(gui)定(ding)(ding):“利息從應付(fu)(fu)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)之日(ri)計付(fu)(fu)。當(dang)事(shi)(shi)人(ren)對付(fu)(fu)款(kuan)時(shi)間沒有約定(ding)(ding)或者(zhe)約定(ding)(ding)不明的,下列時(shi)間視(shi)為應付(fu)(fu)款(kuan)時(shi)間:(一)建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)已實際交(jiao)(jiao)付(fu)(fu)的,為交(jiao)(jiao)付(fu)(fu)之日(ri);(二)建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)沒有交(jiao)(jiao)付(fu)(fu)的,為提交(jiao)(jiao)竣(jun)工(gong)(gong)(gong)結算(suan)文件之日(ri);(三)建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)未(wei)(wei)交(jiao)(jiao)付(fu)(fu),工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)也未(wei)(wei)結算(suan)的,為當(dang)事(shi)(shi)人(ren)起(qi)訴之日(ri)。承包人(ren)行(xing)使建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)優先受償權(quan)的期限為六個月,自發(fa)包人(ren)應當(dang)給付(fu)(fu)建設工(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)之日(ri)起(qi)算(suan)。”)
    2、特(te)別事由:(依據《建設工程施工合同解(jie)釋(二)》第23條(tiao)規定(ding):“發(fa)包(bao)人(ren)與承包(bao)人(ren)約定(ding)放棄或者限制(zhi)建設工程價款(kuan)優先(xian)受償權,損(sun)害(hai)建筑工人(ren)利益(yi),發(fa)包(bao)人(ren)根(gen)據該約定(ding)主(zhu)張承包(bao)人(ren)不享有(you)建設工程價款(kuan)優先(xian)受償權的,人(ren)民法院(yuan)不予支(zhi)持。”)
    對(dui)于上述情形,一(yi)定程度上加(jia)大(da)了房地產開發企業(ye)的(de)(de)(de)壓力,但(dan)作為法務部今后的(de)(de)(de)工作不僅(jin)僅(jin)應在合(he)同中加(jia)以風險防控,更應該在公司現存(cun)的(de)(de)(de)建設工程糾紛(fen)類案件中,按(an)照相關法律法規,最(zui)大(da)程度的(de)(de)(de)保護我公司合(he)法權益(yi)。
